These terms of use (together with the documents referred to in it) (“Terms”) explain the terms of use on which you may make use of the Eval Plan website (https://www.evalplan.co) operated and owned by Behavioural Insights Ltd, whether as a guest or a registered user. Use
of our site includes accessing, browsing, or registering to use our site.


By using our site, you confirm that you accept these Terms and that you agree to comply with them.

Updates
We keep these Terms under regular review and may update it from time to time but if we do this we will publish the changes on our site. So please check these Terms regularly for changes. If you do not accept the amended Terms, please stop using the site.

We may update our site from time to time, and may change the content at any time. However, please note that any of the content on our site may be out of date at any given time, and we are under no obligation to update it.

We do not guarantee that our site, or any content on it, will be free from errors or omissions.

Accessing our site
Our site is made available free of charge. Please note that we use the site to provide paid-for services, but that these are subject to separate terms and conditions which accompany an order form for those services.

You may print off one copy, and may download extracts, of any page(s) from our site for your personal use and you may draw the attention of others within your organisation to content posted on our site.

You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

We assume no responsibility for the content of websites linked on our site. Such links should not be interpreted as endorsement by us of those linked websites. We will not be liable for any loss or damage that may arise from your use of them.

You shall indemnify and hold us from and against any losses resulting from any Third-Party Claim based on your use of the Data in a manner not authorized by these Terms or relevant law provided that you shall have the right, at its option, to defend yourself against any such Third-Party Claim or to participate in the defense thereof by counsel of your own choice.

Data Sharing Obligations
License Grant. Subject to these terms, you hereby grant us a license during the Term to use the data (our Privacy Policy, which includes a non-exhaustive list of the types of personal and other data that will be collected and processed in connection with these Services) solely for the purpose of us providing the Eval Plan services. You will transfer the Data to us for such Purpose. You warrant that you have received all necessary or legally required consents from, and provided all necessary disclosures to, data subjects for the transfer of Data to us, and processing of such Data for the Purpose. 

The data shared pursuant to these terms (“Data”) will not include any direct identifiers (e.g. name, email, social security number or any other government issued identification), any personally identifiable information, or other sensitive information.

You shall deliver the Data electronically via a secure file transfer server, or by other means mutually agreed to between the parties, at a frequency mutually agreed upon by the Parties.

The data will be encrypted, and only BIT, authorized BIT staff, and BIT’s affiliate companies will be permitted access to the data.

BIT shall only provide access to the Data to any employee, affiliate company employee, contractor, subcontractor, representative, consultant, or collaborator who has a need to know for completion of the Purpose (the “Authorized Parties”), who are authorized to use the Data or any part of it on behalf of BIT or as a collaborator and have been made aware of and read these terms or as otherwise permitted by these terms.

BIT, and any Authorized Party on our behalf, may use the Data only for the Purpose as described in these Terms. BIT will comply with industry standards, best practices, and all relevant laws and regulations regarding the security and privacy of the Data; use reasonable and appropriate technical, administrative, organizational, and procedural safeguards to prevent use or disclosure of the Data other than as provided for by these Terms; and ensure that any agents, including subcontractors, to whom BIT provides the Data or any part of it agree to the same restrictions and conditions that apply to BIT.

Conduct Obligations
You agree to ensure that you and your employees and consultants’ conduct while working towards the Purpose demonstrate the highest standards of integrity, honesty and fairness in all business activities, including interactions with BIT US personnel. Failure to comply with this provision may result in the removal of personnel from this project, and/or the termination of the services provided pursuant to these Terms.

Viruses
We do not guarantee that our site will be secure or free from bugs or viruses.

You are responsible for configuring your information technology, computer programmes and platform in order to access our site. You should use your own virus protection software.

You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. Breaching this provision may constitute a criminal act under relevant laws and regulations. We will report any such breach to the relevant law enforcement authorities and we will cooperate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.

Linking to our site
You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

You must not establish a link to our site in any website that is not owned by you.

Our site must not be framed on any other site, nor may you create a link to any part of our site other than the home page.

We reserve the right to withdraw linking permission without notice.

Severability
In the event of a conflict between these terms and the WWC/RFA contract with the cities, the WWC/RGA contract with the cities will control.

Applicable law
These terms shall be governed by the laws of the state of New York as applied to agreements executed and performed entirely within the state of New York by New York residents, without giving effect to any conflicts of laws principles. Any claim or controversy arising out of or related to these terms or any breach hereof shall be submitted to a court of applicable jurisdiction in the state of New York. You and BIT hereby consents to the jurisdiction and venue of such court and waives to the fullest extent permitted by law all rights to a trial by jury.
